1. Agreement to Terms

These Terms of Service ("Terms") govern your use of ShipmentPlanner, a logistics planning service provided by Tradylon d.o.o. ("Company", "we", "our", or "us"). By accessing or using our service, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use ShipmentPlanner.

2. Service Description

ShipmentPlanner is a logistics planning tool that enables you to:

• Plan shipments to Amazon marketplace and third-party warehouses
• Store and manage SKU and package information
• Optimize pallet arrangements at the layer level
• Calculate package quantities and pallet configurations
• Export shipment plans to Amazon Shipment Templates
• Track shipment preparation progress
• Generate required documentation and labels

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

3. User Accounts

3.1 Account Creation

To use ShipmentPlanner, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By creating an account, you represent that you meet these requirements.

3.3 Business Use

ShipmentPlanner is intended for business use. If you are using the service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

4. Acceptable Use

4.1 Permitted Use

You may use ShipmentPlanner only for lawful business purposes in accordance with these Terms.

5. Subscription and Payments

Subscription fees are generally non-refundable. However, we may provide refunds at our discretion on a case-by-case basis.

5.5 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access until that date.

6. Intellectual Property

ShipmentPlanner, including its software, design, content, and trademarks, is owned by Tradylon d.o.o. and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the service.

6.2 Your Data

You retain all rights to the data you input into ShipmentPlanner (SKU information, shipment plans, etc.). By using our service, you grant us a license to use, store, and process your data solely to provide the service.

6.3 Feedback

If you provide feedback, suggestions, or ideas about our service, we may use them without obligation or compensation to you.

7. Data Protection and Privacy

Your use of ShipmentPlanner is also governed by our Privacy Policy and GDPR Notice. We process personal data in accordance with the General Data Protection Regulation (GDPR) and applicable EU data protection laws.

8. Service Availability and Support

8.1 Uptime

Customer support is provided based on your subscription plan. Response times may vary based on the nature and urgency of your request.

8.3 Backups

While we perform regular backups, you are responsible for maintaining your own backups of critical data.

9. Warranties and Disclaimers

9.1 Service "As Is"

ShipmentPlanner is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 No Guarantee of Accuracy

While we strive for accuracy in our optimization algorithms and calculations, we do not guarantee that results will be error-free or meet your specific requirements. You are responsible for verifying all shipment plans and calculations.

9.3 Third-Party Services

We are not responsible for third-party services (such as Amazon) or their policies, terms, or availability.

10. Limitation of Liability

To the maximum extent permitted by law, Tradylon d.o.o. shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or errors in calculations
• Actions or omissions of third parties
• Unauthorized access to or use of our servers

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless Tradylon d.o.o., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of ShipmentPlanner
• Your violation of these Terms
• Your violation of any rights of third parties
• Your data or content uploaded to the service

12. Termination

12.1 By You

You may terminate your account at any time by canceling your subscription or contacting us.

12.2 By Us

We may suspend or terminate your access to ShipmentPlanner immediately if:

• You violate these Terms
• Your account is involved in fraudulent activity
• Payment fails or subscription expires
• Required by law or court order

12.3 Effect of Termination

Upon termination, your access to ShipmentPlanner will cease. We may delete your data after a reasonable period, though we may retain certain information as required by law or for legitimate business purposes.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Slovenia, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of ShipmentPlanner shall be subject to the exclusive jurisdiction of the courts in Slovenia.

For EU residents: Nothing in these Terms affects your statutory rights as a consumer under EU law.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms on our website
• Updating the "Last updated" date
• Sending email notification for significant changes

Your continued use of ShipmentPlanner after changes take effect constitutes acceptance of the new Terms.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and GDPR Notice, constitute the entire agreement between you and Tradylon d.o.o.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.
